1. Acceptance of Terms & Eligibility

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "Organizer") and Tixdoor Technologies Inc. ("Tixdoor", "we", "our", or "us"). By visiting our website (tixdoor.com), downloading our mobile application, or utilizing any of our ticketing, door scanning, or payment escrow services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to create an organizer account or purchase tickets. If you are using Tixdoor on behalf of a company or event organization, you represent that you have the authority to bind that entity.

2. User Accounts, Authentication & Security

While users may purchase tickets via guest checkout, creating an account requires providing accurate, current, and complete information (such as your full name and valid email address). You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

Tixdoor reserves the right to suspend or terminate accounts that provide fraudulent information, engage in unauthorized ticket scalping, or violate community safety standards.

3. Event Creation & Organizer Responsibilities

Organizers who list events on Tixdoor agree to provide truthful, accurate, and up-to-date event information, including venue location, date, time, pricing tiers, and age restrictions.

4. Ticket Purchases, Fees & 100% Escrow Protection

When you purchase a ticket through Tixdoor, your payment is processed securely via certified payment gateways. To safeguard attendees against fraudulent or misrepresented events, all ticket funds are held in secure escrow until the event takes place.

Ticket pricing is determined by the event organizer. Service fees (e.g. 6.5% + fixed fee) may be passed to the buyer or absorbed by the organizer as displayed during checkout. All orders are confirmed immediately with a unique cryptographic QR pass.

5. Cancellations, Postponements & Refund Policy

Cancelled Events: If an event is cancelled by the organizer and not rescheduled, 100% of escrow-held ticket funds are automatically refunded to the original payment method.

Postponed Events: If an event is rescheduled to a new date or venue, your ticket pass remains valid for the revised date. If you cannot attend the rescheduled date, you may request a refund within 7 days of the postponement notice.

Buyer Change of Mind:Unless an event is cancelled or significantly altered, individual ticket refund eligibility is subject to the specific organizer's refund policy as published on the event listing.

6. Prohibited Conduct & Anti-Scalping

Users agree not to engage in any of the following prohibited actions:

• Automated bot purchasing or bulk scalping of tickets for unauthorized resale.
• Duplicating, forging, altering, or sharing fraudulent QR code passes.
• Listing events that promote hate speech, unlawful discrimination, or violence.
• Attempting to bypass Tixdoor's door verification systems or security protections.

7. Payment Processing & Bank Settlements

Tixdoor routes merchant payouts to verified organizer bank accounts. Eligible organizers may access up to 40% of their ticket sales via the 40/60 Escrow Advance program prior to the event. The remaining 60% balance is settled within 24 hours following successful event completion.

Tixdoor reserves the right to withhold payouts if suspicious activity, high chargeback rates, or verified attendee fraud reports occur.

8. Intellectual Property & User Content

Tixdoor retains all rights, title, and interest in the platform, including trademarks, logos, scanner software, and user interface designs. By uploading event banners, promotional videos, and copy, organizers grant Tixdoor a worldwide, non-exclusive license to display such content solely for promoting and facilitating ticket sales for the event.

9. Disclaimers & Limitation of Liability

Tixdoor acts as a ticketing and door management technology platform. We are not the producer, promoter, or host of third-party events listed by independent organizers. Tixdoor is not liable for personal injuries, property loss, or actions taking place at third-party event venues.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIXDOOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. OUR TOTAL AGGREGATE LIABILITY ARISING FROM THESE TERMS SHALL NOT EXCEED THE TOTAL FEES RETAINED BY TIXDOOR FOR THE RELEVANT TRANSACTION.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Tixdoor operates, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved amicably through good-faith negotiations with our legal team before resorting to binding arbitration.
